Arby's buys Wendy's for 2.34 billion

COLUMBUS, Ohio - After at least two rejections, billionaire Nelson Peltz has finally succeeded in landing Wendy's in a $2.3 billion deal that would add the chain known for its square burger and chocolate Frosty dessert to his ownership of Arby's and its roast beef sandwiches.

Now, the investor known for agitating corporations to boost their stock price has to figure out how to make both profitable while the economy slumps and more Americans are saving money on food and fuel by staying home to eat.

Atlanta-based Triarc Companies Inc., owned by Peltz, said Thursday it will pay about $2.34 billion in an all-stock deal for the nation's third-largest hamburger chain started in 1969 by Dave Thomas. Wendy's had rejected at least two buyout offers from Triarc.

Thomas' daughter Pam Thomas Farber said the family was devastated by the news.

"It's a very sad day for Wendy's, and our family. We just didn't think this would be the outcome," said Farber, 53.

If her father were alive to hear news of the buyout, "he would not be amused," she said.

Triarc will pay about $26.78 per share for the company, which has about 87 million shares outstanding. Wendy's shares rose 6 percent to $26.91 in trading Thursday afternoon. They traded as high as $42.22 last summer, not long after Wendy's announced the formation of a special committee to boost its stock price.

The offer is well below the $37 to $41 per share that Peltz said last summer that he was ready to offer for Wendy's.

Under the terms of the deal, expected to close in the second half of the year, Wendy's shareholders will receive 4.25 shares of Triarc Class A stock for each share of Wendy's stock. Triarc said its shareholders will have to approve a charter amendment in which each share of its Class B stock will be converted into Class A stock.

Peltz has pushed for change at Wendy's — including the spinoff of the Tim Hortons coffee-and-doughnut chain and cutting corporate expenses — since 2005 to increase the company's stock price. His Trian Fund and his allies own 9.8 percent of Wendy's stock.

It's a similar tactic Peltz has used at other companies where Trian has become a significant investor, such as Cadbury Schweppes PLC and H.J. Heinz Co. Trian also owns shares of Tiffany & Co. and the Cheesecake Factory Inc., according to regulatory filings.


Improved cost controls over food, labor and other expenses should generate $100 million a year in operating profits over time, Triarc said in the statement announcing the deal.

Eliminating duplicate corporate functions and streamlining support services are expected to eventually save $60 million, said Triarc, which operates 3,000 Arby's restaurants.








I have never seen a Wendy's empty and an Arby's full.

I knew that Wendy's had been up for sale for a while. But does that mean loose meat sandwiches and suspect looking horsey sauce will appear the next time I go to a Wendy's?

I probably was the only kid in town who lived three blocks away from an Arby's. Can't say much else about that one. Except I never had a Jamoca shake in my life.

I'd expect something more like what Yum! Brands has done and have dual concept stores.

Little shocked Yum didn't pick up Wendy's there was chatter of an acquisition back in 2004, you want a good stock tip? Yum! Brands because in the future, all restaurants are Taco Bell.

I don't know about the states but up here we already have dual Wendys/Tim Hortons, so I don't know how they'll intergrate them.

Is there even a Wendy's in the SFV? For the longest I thought the nearest was in Santa Clarita. I refuse to eat at either one these days, so they can merge all they want.

For many years, the only Wendy's I knew of was on Sepulveda south of Victory.

Then when I was in school there was then sudden appearence of Wendy's everywhere with one at a shopping center on Reseda and Devonshire. I imagine MikeShaynePI can vouch for me on this.

One of my ex gf's lives near there so I can vouch. That got constructed late '04.

EDIT: There was one on Sepulveda and Nordhoff but it got replaced by a Mexican chicken place late last year.

There is a grudge, actually. The only fast food joint down the street from my college was Wendy's. Being starving art students, we frequented that place nearly everyday. For three years. I can't imagine ever stepping foot into a Wendy's.

As for Arby's, the stores in Vegas are pretty awful. I used to enjoy hitting up an Arby's in LA, but there is something seriously wrong with their Nevada locations.

For as little as I indulge in fast food these days, Wendy's is still one that I like. Arby's? Fairly gross. I hope they don't screw around with the food too much.

Um... there's a Wendy's on Ventura between Topanga and Shoup. There's a Wendy's on Platt between Victory and Vanowen. There's one on Desoto off of Roscoe. There's one on Tampa off of Sherman Way. There's one in Northridge. Three in Van Nuys. One in Simi Valley. How do you think there are no Wendy's in the Valley?

Try looking for a Sonic. Now that's a unending quest that will take you to the reaches of Anaheim.

The Arby's in Vegas are pretty gross. They were alright back in the 80's, I think the problem was, they never got updated since the 80's, at least that was true back when I left in 2004.

Honestly though, in Vegas, In N' Out & Jack In the Box were my main fast food joints that I'd hit. Anytime I head back there I gotta pick up a Double Double one day and get 2 taco's for 99 cents another.

That being said, out East the only fast food place I frequent is Wendy's or McDonalds. I hate McDonalds (My kid likes the happy meal toys...) so if they mess with Wendy's I'll lose out on 90% of my fast food happiness.

They opened an Arby's really close to me fairly recently, and it stays busy. The Wendy's is PACKED, mostly because of its location. These are two of the very few fast food places I go to anymore, so here's hoping they don't tinker with either of them.

I remember back when Roy Rogers had some of the best fast food around - excellent cheeseburgers, roast beef sandwiches, and fried chicken. Then Hardees bought them out and the quality plummeted.

Same here.

I live in a small suburb and on the main road we have almost all of the fast food joints. It resembles some sort of mall food court. DQ and BK are pretty much right next to each other. Mr. Hero is right across the street from BK. Taco Bell and Boston Market are within spitting distance of each other. Wendy's and Arby's are separated by a Firestone.

I've noticed that, outside of Texas...DQ is shit. I've been to one in CA and one in OR and they were disgusting. The menu was all fucked up...I have no idea what they called the burger but it wasn't a Hungr-buster and THAT is a problem.

They didn't turn the blizzard upside down when they gave it to me or anything!

America's Roast Beef, Yes Sir! buys Wendy's...I asked my wife if she had anything to do with it, considering those are her two favorite fast food places (aside from Chik-Fil-A). I'm addicted to the new French Dip they have at Arby's. At Wendy's, I usually get the spicy chicken sandwich and a side of chili--how I love their chili.

And I go to DQ for the burgers. Moreso in the past, but there's something I love about them...I think it's whatever mustard that they use. 2 single burgers and a Cherry Mr. Misty (I refuse to call it an "Arctic Rush").

I was getting my eyes checked for new contact lenses, and it was late and I wanted some dinner while I waited for my eye appointment to roll around. The mall that the Lenscrafters was in had very little going for it in the food court, so I just thought, screw it - I'll get Arby's. How bad can it be? Pretty bad. It was lukewarm, the fries were absolutely shiny with grease, but worse - there was this stuff oozing out of the burger, which I assumed was melted cheese (it was light in color, because I think I'd ordered a swiss burger). It wasn't cheese - it was about a half an inch of mayo covering the whole surface of the burger. I actually did a double-take as I started to scrape it off; it was the grossest sight I've ever seen. To give you some notion of how nasty that meal was, I only ate a few of my fries, and there was a homeless man sitting at the next table. Rather than toss them immediately, I asked him if he'd like to have them. He declined.

I was in an Arby's in the Dallas 'burbs many years ago, and a very large man in OVERALLS came wobbling in. My friends and I all looked at him, looked at each other, and made our own silent predictions. He did not let us down. FIVE FOR FIVE, all for Farmer John. God Bless America.

Oh, and as for the main topic, I like Wendy's a lot, and I hope they don't screw anything up. Arby's, I don't really care about.

Don't get me started on Dairy(erre) Queen. That one opened the door for sexually euphemistic restaurant titles way back in the 50s, and now driving down El Camino Real in northern California is like perusing the menu at a Malayasian "massage parlor". Everywhere you look, it's a Panda Express, a Papa Romeo's, a Long John Silver's, or a (shudder) Green Taco.
